Vaduz, 25.09.2023 — At today's Extraordinary General Meeting, the shareholders of EasyMotionSkin Tec AG (“EasyMotionSkin”, ISIN: LI114715831, m:access) paved the way for the company to grow into a new economic and strategic dimension. The capital represented at the Annual General Meeting unanimously approved the planned increase in the company's share capital from CHF 1.00 million to CHF 2.92 million through the issue of 19.2 million new bearer shares. The new shares are subscribed by Maponos Holding AG, which in return transfers all shares of milon Holding GmbH to EasyMotionSkin Tec AG. The transaction is based on an expertly confirmed valuation of CHF 112 million by milon Holding. Following registration of the capital increase in kind, Maponos Holding will hold around 88 percent of EasyMotionSkin's shares. Milongroup is a leading developer and producer of high-quality, intelligent premium training equipment in the B2B segment. In addition to a large number of owner-managed fitness studios, around 550 physiotherapy facilities and around 150 clinics and rehabilitation facilities are also customers. Under the umbrella brand Milon, the group offers a unique circuit training equipment concept, where the fully automatically controlled devices are digitally connected and individually adapted to the respective users. The FIVE brand offers flexibility training products in particular. The milongroup is currently focused on 10 core markets primarily in Europe; in the D-A-CH region, the market share in the premium B2B segment amounts to around 47%. The milongroup — supported by the continuing growth in fitness trends worldwide — is planning to expand into other international markets and is positioning itself as a global provider. Some of the appropriate sales and partner structures are already in place and are being expanded. Experts currently estimate the global market for B2B training equipment at around USD 3 billion. With a new product line, which will be launched on the market in the coming year, milongroup is increasingly also addressing fitness chains and thus significantly expanding its target group. With the acquisition of milongroup, EasyMotionSkin is positioning itself as a holistic healthcare provider with an international focus in both the B2B and B2C segments. EasyMotionSkin's unique EMS suit, which stimulates muscles with low-frequency electric impulses through patented dry electrodes, is comprehensively supplemented with further health services with milongroup training equipment. Milongroup's high presence in gyms and physiotherapy facilities opens up considerable cross-selling potential with the existing EasyMotionSkin product range, particularly when addressing end customers. The bundling of the digital expertise of EasyMotionSkin and milongroup will be an important driver of further growth. The high degree of digitization of the devices provides an excellent starting point for communication with the user and thus for further product offerings. In the international expansion, management also sees numerous synergy effects between milongroup and easyMotionSkins. In addition to the strategic advantages, the integration of milongroup into EasyMotionSkin leads to a new economic dimension. In 2022, the subsidiaries of Milon Holding generated consolidated profitable sales of CHF 29.4 million — the EasyMotionSkin Group had profitable pro forma sales of CHF 9.8 million in the same period.Christian Keck, Chairman of the Board of Directors and CEO of EasyMotionSkin Tec AG: “Today is an extremely important milestone in the history of our company.
